Terms & Conditions – Celebration Spaces

Celebration Spaces (“we,” “our,” or “us”) is an online wedding and event planning platform operated by AAJneeti Connect Ltd. For people planning weddings and related functions to weddings, we seamlessly offer inspiration and curated listings across India. Our services can be accessed through our website www.celebrationspaces.com and through other digital features, applications or tools provided by us from time to time. These are collectively referred to as the “Celebration Spaces Platform” or “Services.”

Celebration Spaces acts solely as a discovery and facilitation platform that connect prospective clients (“Customers”) to wedding venues and independent services provided by Vendors. We do not own or operate any of the listed venues or vendor services.

These Terms and Conditions (the “Agreement”) set forth the terms that are legally binding with respect to access and use of the Celebration Spaces Platform. This Agreement supplements any other agreements or terms of Customers and Vendors. As a Visitor (browsing the website) or as a User (submitting content or engaging with the platform personally or on behalf of a business), you agree that you have accepted our terms and conditions alongside the privacy policy formulated by the company.

For the purpose of this Agreement:

• “Customer” is defined as an individual or entity who intends to schedule or book services in relation to a wedding through Celebration Spaces.
• “Vendor” is defined as person(s) or companies that are included in Celebration Spaces and who provide their services to the Customers.

In case you do not agree with these Terms, you are required to cease using the platform immediately.

Get Inspired :

If you wish to submit a listing, upload files, make a booking, write a review, or engage with any other interactive elements on Celebration Spaces, you must accept these Terms during the submission process.

We retain the right to change or modify these Terms at any time. Such changes will take effect immediately upon publication on the platform. We advise all users to familiarize themselves with this Agreement from time to time because any use of the platform is acceptance of the Terms, even if they have been modified.

IMPORTANT NOTICE :

You are prohibited from uploading content such as images, reviews, pricing, and events unless you are entitled to the rights or have permission to do so. If you upload content that you do not own, you may be legally implicated. Liability for Celebration Spaces is limited to content that infringes intellectual property laws or privacy rights. The user is wholly liable for ensuring that the information they provide is valid and is lawful for disclosure.

Eligibility

The use of the platform Celebration Spaces is prohibited in regions or jurisdictions where it is illegal. Through the Celebration Spaces website or by submitting content with vendor details, it is assumed that users are affirming the following:

• Users must be at least 18 years of age.
• Users must possess adequate legal capacity to undertake this agreement and comply with its terms.
• Compliance with applicable local, state, and national laws and regulations are a must.

Term and Termination

This agreement stands valid until the user maintains an active presence and uses the platform as a Customer or Vendor. Celebration Spaces holds the discretion to:

• Without any warning, suspend or permanently disable any user account, content, or vendor listing.
• Deny access to any section of the platform if it is believed that the user has violated any term of this Agreement.
• Remove any content deemed as misleading, offensive, inaccurate, non-consensual, or inappropriate in any form.

User-Generated Content and Ownership

Celebration Spaces does not claim ownership of the photographs, videos, texts, and other materials (“User Content”) that Users and Vendors upload to the platform. However, submitting such User Content implies that you agree to the following terms:

• You have full ownership of such content or have secured all requisite rights and permissions to utilise and release it;
• You hereby grant Celebration Spaces a non-exclusive, royalty-free, transferrable and sublicensable, fully worldwide license to utilise, display, publish, adapt, promote such content in any format, including but not limited to marketing materials, social media, or third-party affiliated platforms.
• You will not upload content that breaches the intellectual property rights, privacy rights or any other rights of a third party.

Celebration Spaces may, at its sole discretion, remove any User Content that it deems to be violating copyright, intellectual property rights, or any other content policies without any prior notification and shall not be held liable for such removal.

Attribution and Rights Usage

Celebration Spaces will, whenever possible, provide attribution to Vendors or original creators while using User Content in editorial features and promotions that span across the platform.
However, the platform shall not be held liable for

• Vendor content reuse or redistribution by users.
• External post infringement through watermarking or copyright notices.
• Any disputed legal issues stemming from User Content claims of misrepresentation or falsehood.

When content is produced in collaboration with Celebration Spaces, such as featured campaigns, photoshoots, or blogs, customised terms may apply and will be clearly outlined prior to production.

Celebration Spaces Content

Celebration Spaces retains all original materials produced on its behalf, as well as branding and platform features, including designs and graphics, templates, which remain the sole property of AAJneeti Connect Ltd. Such content is protected under copyright, trademark, and applicable intellectual property laws.
You may not copy, distribute, modify, or commercially exploit any content from Celebration Spaces without prior written consent. You shall receive a limited, non-sublicensable, and revocable license to access and use the Celebration Spaces platform for personal use.

Third-Party and User Content

The Celebration Spaces platform may feature User Generated Content provided by Vendors or Customers, as well as other licensed material. Such content is accessible for users to find and for informational purposes only.
Users are prohibited from the following:

• Reproducing or redistributing the third party's content for commercial purposes;
• Claiming authorship of the content which is not of their own creation;
• Extracting and altering said content without the consent of the actual author or copyright holder.

Users or vendors who are found to be in breach of copyright and misuse of content shall be solely responsible for the burden of the legal consequences. Celebration Spaces does not assume any responsibility for disputes on ownership of content between users or vendors.

Prohibited Content

Celebration Spaces retains the right to make final determinations, at its sole discretion, regarding any content provided by Users or Vendors as it relates to the platform. We reserve the right to remove, restrict access to, or otherwise disable any content that violates our community guidelines, Terms, or relevant legislation without prior notice. Such actions include, but are not limited to, the following:

• Content that surpasses fair opinion and egregiously slanders or personally attacks individuals, businesses, or vendors
• Content that bullies, harasses, and threatens others, or incites violence toward them
• Exploitation or depiction of individuals in sexually graphic, violent, or abusive activities
• Materials displaying or discussing nudity, adult content, graphic violence, or containing links to pornography or other adult websites
• Promotion of racism, hatred, bigotry, casteism, or any form of intolerance based on ethnicity or religion
• False, defamatory, or libelous statements about an individual, organisation, or service provided by an individual or organisation
• Solicits users under eighteen years of age for information or targets them.
• Promotion of behaviour that is illegal, unethical, deceptive, or poses risks to health or safety
• Violation of intellectual property including software, music, literary works, and copyrighted materials, piracy, or promotional material related to the same
• Unsolicited bulk messaging, spamming, phising and its affiliated activities, or spimming
• Posting hyperlinks to restricted areas, hidden pages, or password-protected files without the requisite authorization
• Content that promotes or gives details on crimes such as: hacking, creating computer viruses, or weapon making.
• Data mining personal, financial, or other sensitive information for legitimate business purposes or for illegal activities.
• Any and all content owned by a third party that is posted, shared or published without proper rights or permissions.
• Advertising, promotions, contests or any sales campaign actively conducted without the prior written consent of Celebration Spaces.

We reserve the right to take appropriate action by reporting unlawful content to the proper authorities, as well as permanently suspending accounts that breach these guidelines.

Prohibited Activities

Celebration Spaces restricts activities that are abusive, illegal, disruptive, or infringe on the rights of other individuals on the platform. The following are some of the activities which are prohibited, but are not exclusively limited to:

• Unauthorised copying, reproducing, modifying, selling, or publishing content of Celebration Spaces and its users, and vendors
• Promoting, facilitating, or committing criminal activities such as cyberbullying, identity theft, stalking, or copyright infringement.
• Using scripts, bots, or any form of automation to bypass the platform’s infrastructure controls or manipulating any site features.
• Masquerading as a user, vendor, or representative of Celebration Spaces
• Obtaining unauthorised access to a user’s or vendor’s profile, account, or inquiry history.
• Disclosing your login credentials to unauthorised personnel or sharing them with third parties.
• Selling, leasing, or transferring your profile or listing without written consent from Celebration Spaces.
• Intimidating other vendors or users emotionally or financially using the platform.
• Posting 3rd party advertisements, promotions, or sponsored content without authorisation.
• Disrupting or overburdening Celebration Spaces’ systems, servers, or related services.
• Posting dishonest and retaliatory reviews that harm others without justification.
• Celebration Spaces U sage Violations: Use of Celebration Spaces in any unlawful manner or contrary to any applicable state laws, government regulations and policies, societal norms, or community standards.

Violations of any of the above could result in content removal, temporary or permanent suspension of accounts, banning without recourse, and/or appropriate legal follow-up.

Copyright Policy

Users as well as Vendors are prohibited from posting, uploading, distributing, or reproducing any copyrighted material, trademarks, brand logos, or proprietary content belonging to Celebration Spaces or any third party without prior written consent from the relevant rights holder.

With contributions from various providers and users, Celebration Spaces is a highly content-driven platform and therefore takes issues regarding copyright and intellectual property rights seriously. Unauthorised use or misappropriation of copyrighted materials such as event photographs, logos, music, video files, or professionally created portfolios is strictly forbidden.

Celebration Spaces takes the users’ and vendors’ copyright infringement seriously, and upon discovery, will impose access limitations and even suspend or terminate their access to the platform.

If you suspect that your copyrighted material has been published on Celebration Spaces improperly, please send an email to sales@aajneeti.social containing the elements listed below:

• A description of the copyrighted work;
• Evidence showing entitlement;
• Link or location of the alleged infringing content;
• Your personal and contact details alongside a claim affirming copyright ownership.

We will analyse the details and resolve the matter within a reasonable timeframe.

Customers

By utilising Celebration Spaces, industry users acknowledge and assent to the following:

• Celebration Spaces serves solely as a platform for discovery and listing venues. Customers independently coordinate and communicate with Vendors for booking, payment, and other processes.
• Celebration Spaces is not liable for any disputes, delays, cancellations, performance issues, or losses pertaining to interactions with Vendors, as they do not own, manage, or operate any venue or vendor on the platform.
• Customers who share photographs, reviews, and other content with Celebration Spaces for blogs or social media galleries still own that content. Customers, however, grant Celebration Spaces the right to use the content without compensation, reuse, edit, and publish across its properties and publications with appropriate attribution.
• Though every effort has been made to deliver a smooth and secure experience, the vendor’s performance is external to Celebration Spaces. Celebration Spaces does not guarantee service quality or outcomes and shall not be liable for any dissatisfaction arising from miscommunication.

Vendors

Through creating a listing on Celebration Spaces or submitting information, Vendors accept the following terms:

Platform Role & Responsibilities

• Vendors on the Celebration Spaces platform are independent actors who have full control of the services offered by them, including the management of their profiles and interactions with customers.
• Celebration Spaces remains an impartial intermediary who does not participate in any form of contracting, pricing, or other negotiations between Customers and Vendors or any other transaction involving the two.
• Celebration Spaces Vendors are solely responsible for any claims made on their behalf misrepresenting services, identity, team qualifications, or portfolios of work.

Content Use & Rights

• Vendors may only upload and share photos, videos, and written content for which they have ownership rights or explicit permission to use. Competitors’ or third-party materials are not to be used without authorization.
• If a Vendor uploads or shares content with Celebration Spaces, they grant the platform a non-exclusive, royalty-free license to use such content. This allows CELEBRATION SPACES to display, edit, and promote the content on the platform and all marketing channels with appropriate attribution.

Commercial Arrangements

Vendors who wish to enhance their visibility may be offered paid visibility packages or promotional placements by Celebration Spaces. The listed packages do not assure bookings, however, they enhance the visibility of your listing to relevant users.

Policy on Vendor Reviews and Feedback

Customer reviews on vendor profiles aid other users in making informed choices. In order to maintain openness:

• Vendors shall not falsify reviews or create fake testimonials from friends, family, or colleagues;
• Vendors may challenge the review and seek verification by emailing sales@aajneeti.social, but only if the review is documented as untrue or malicious;
• The vendor has 7 days from the time of request to present satisfactory evidence to dispute a review;
• If proven, the review will be removed within one week from the date of review and confirmation;
• Celebration Spaces cannot verify every review but reserves the right to investigate all reviews that are flagged.
• Vendors are strongly advised to issue responses to negative reviews in a constructive and respectful manner.

Note: Authentic feedback, whether positive or negative, is a hallmark of trustworthiness. Some of the most trusted vendors on Celebration Spaces have received contested reviews.

Policy on Creation and Deletion of Profile

• A celebration Vendor profile is created by default but cannot be deleted upon request. It can, however, be made unclaimed or unsearchable at the discretion of Celebration Spaces.
• Profiles for Vendors may be generated without approval in cases such as reviews left by customers for Vendors who are not yet registered. In such instances, the profile is considered “Unverified” until the Vendor completes the necessary steps to claim and finalise it.
• Celebration Spaces maintains the right to remove the review and profile history in order to protect the integrity of its platform.

Promotions on Other Platforms

• From time to time, Celebration Spaces may have partnerships with other platforms like Nykaa, Amazon, or Paytm and provide these partner discounts and product access to Vendors listed on Celebration Spaces.
• Vendors accept that any products or services procured from third-party platforms via Celebration Spaces partnerships are subject to the vendor’s respective terms and conditions.
• Any purchasing shall be done strictly to improve the services offered to customers and shall not be for resale or personal gain.

User Disputes

• Users take full responsibility for their dealings with other users of Celebration Spaces, including Vendors. Celebration Spaces does not mediate, supervise, or ensure the resolution of any Customer–Vendor dialogue or deal.
• Reserving the discretion in reviewing or intervening in disputes, we will not be liable for any disagreement, loss, or damage arising from user interactions.
• Celebration Spaces attempts to verify some details, but does not guarantee the accuracy, completeness, or reliability of vendor listings or customer reviews.

Privacy

The use of the system with Celebration Spaces is governed also by the Privacy Policy, that is incorporated into this Agreement by reference. By utilising our platform, you agree to the terms set forth in the Privacy Policy regarding the collection, use, storage, and disclosure of your personal information.

Promotions and Contests

Celebration Spaces may, at their discretion, organise promotional events, giveaways, contests, and even sweepstakes, occasionally in partnership with other entities. Each specific promotion will have a detailed set of rules which will cover:

• What data is captured?
• How that data will be utilised?
• Who the data may be shared with?

By taking part in activities, participants will be signifying their acceptance of all the rules. Celebration Spaces shall not be held responsible for the actions or the conduct of any third-party promotional activities.

Disclaimers of Warranties

Celebration Spaces and its associated services are accessible to you on an “as is” and “as available” basis. We do not offer any warranties or guarantees, either verbal or written, on:

• The credibility or accuracy of listed vendors, reviews, or any content provided by users
• The performance of the platform’s security features and its availability
• The results of any transaction or booking made via the platform

To the maximum extent permitted by applicable law, Celebration Spaces disclaims all warranties, including implied merchantability of goods or services offered, suitability or fitness for specified purposes, non-infringement, and data security.

In addition,

• Celebration Spaces shall not be liable for any content provided and posted by users or vendors which includes but is not limited to links to other websites and third-party websites or media that has been embedded in.
• We neither endorse nor monitor user-generated content linking to external sources.
• Navigating external links is solely your responsibility.
• Celebration Spaces shall not be responsible for any technical failures, server downtimes, connectivity problems, email delivery issues, or disruptions to the service.
• Celebration Spaces is not liable for any damages related to the Celebration Spaces platform due to viruses, malware, or corrupted files downloaded through the platform.
• We urge you to apply due diligence and sound judgment while engaging with vendors or sharing information on the internet.

Limitation of Liability

Celebration Spaces (AAJneeti Connect Ltd.) together with its affiliates, directors, employees, and agents to the maximum extent permissible by law will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or opportunity.
• Concerns relating to content provided by other parties, misconduct by vendors, or disputes between users.
• Any defamatory, offensive, or illegal conduct by users or vendors on the platform.
• Any error, omission, delay, glitch of a technical nature, or service disruption.

Celebration Spaces shall under no circumstances be more liable than the amount you have paid, if any, during your usage of the platform. As is the case for most users, this amount will, oftentimes, be zero because currently, the platform does not charge customers for usage.

Some jurisdictions may not allow the exclusion of certain warranties or limitations of liability. Therefore, these exclusions may not fully apply to your particular situation.

International Use

• While the primary jurisdiction of Celebration Spaces is India, the platform can be used from outside India. If you access the site from another country, you shall be solely responsible for compliance with your local laws, such as data export and online content restrictions.
• You consent not to use the platform in any manner that would breach Indian law, relevant international data protection frameworks, or export regulations.

Disputes, Governing Law & Jurisdiction

• If any dispute, claim, or disagreement arises in relation to your use of Celebration Spaces or the services provided through the platform, both parties agree that such matters shall be governed by the jurisdiction of India.
• You agree to submit to the exclusive jurisdiction of the courts in Noida, India and waive any objections to such venue, including those based on jurisdiction, forum non conveniens, or other similar grounds.
• In any legal action or proceeding, the prevailing party will be entitled to recover its reasonable legal fees and other costs incurred in relation to the dispute.

Indemnification

You accept full responsibility for indemnifying, defending, and holding AAJneeti Connect Ltd. (operator of Celebration Spaces) and its affiliated, incorporated, and employed personnel, including but not limited to officers, directors, employees, agents, licensors, and partners, harmless from and against claims made by third parties for loss, liability, damage, or expense (including reasonable attorneys’ fees) in connection with:

• The Celebration Spaces system misuse or use
• These Terms & Conditions compliance
• The breach of any termed rights of third parties, be it proprietary or privacy
• Submission or posting of content by you which inflicts legal harm, damage or liability to third parties

This obligation of indemnification survives the termination or expiration of these terms and your use of the platform.

Waiver & Severability

Celebration Spaces’s failure to exercise any right contained in these Terms shall not preclude or affect its right to subsequently enforce such Terms. Celebration Spaces does not relinquish any rights or terms provided or suggested in these Terms.

If any provision of these Terms is invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, the provisions not affected will continue to remain operative. The vacated provision will be rephrased to a more acceptable form which captures, as closely as possible, the spirit of the original wording that was deemed unacceptable.

Statute of Limitations

Under these Terms, you agree that any legal claim or action related to use of the Celebration Spaces platform and services, shall be initiated within one (1) year from the date the cause arose. Failure to initiate action according to this timeframe will result in forfeiture of the claim, regardless of any conflicting law or statute.

Reporting Violations

In case you have information concerning a violation of these Terms & Conditions, improper use of the platform, or misuse of content, we advise that you inform us.
